Full time, 39 hours a week
Remuneration:
Payscale starts at €34,749 per annum [Internal Pay Grade: Officer 1]
Probationary Period:
6 months

About the Role
spunout is seeking to appoint a full-time Governance Officer to provide comprehensive, efficient and effective governance support and administration to the CEO, the Board of Directors and its committees.
The Governance Officer reports to the Head of Governance & Strategy who in turn reports directly to the CEO.
The Governance team plays a pivotal role in ensuring the spunout operates to the highest standards of accountability, compliance and good practice.
The success of the governance team in discharging their duties effectively ultimately ensures the organisation is providing quality well-governed services to young people in Ireland.
The Governance Officer will support the continuous development and implementation of governance best practice across the organisation.
This includes supporting board and committee processes, maintaining governance records and filings, coordinating policy development and review processes and ensuring compliance with relevant legislation, regulatory obligations and funder requirements.
Key Duties & Responsibilities
The Governance Officer's duties and responsibilities include:
CEO & Board Support
Provide proactive and confidential governance support and administration to the CEO and Board of Directors
Coordinate and schedule meetings of the Board and its sub-committees, including drafting agendas, preparing and distributing board papers, and supporting the Company Secretary minutes, statutory filings and governance documents
Support the CEO and the board in liaising with key external stakeholders, and in the preparation of documents, funder updates and regulatory filings
Support Board recruitment, induction, annual performance review process and the coordination of external board training and continuous professional development opportunities
Monitor developments in relevant legislation, regulation and governance requirements and support the implementation of internal controls and compliance processes
Assist in maintaining the organisation risk register and support risk owners in regularly reviewing and updating risk ratings and mitigation actions
Policy Development, Reporting and Records Management
Draft new, and amend existing, policies and procedures to ensure compliance with all relevant legislation, regulations and funder compliance and reporting requirements
Research and prepare briefing papers, reports and governance documents as required, including the production of Board reports, annual service impact reports, and the preparation of the Directors' Report for the annual financial statements
Maintain effective document management, audit and version control systems across governance policies, reports and organisational records.
Develop organised paper and electronic record systems, capable of speedy information retrieval, analysis and dissemination to relevant parties
Support in the development and implementation of annual governance action plans and compliance calendars
Maintain statutory filings with the Company Registration Office and Charities Regulator

Person Specification
Qualifications, Experience & Skills
A relevant qualification in law, policy, corporate governance or related field is desirable.
At least two years of experience in a governance, compliance, administration or similar role
Understanding of charity sector governance, governance codes and regulatory bodies requirements
Experience supporting compliance obligations and statutory filings, including the Companies Registration Office and Charities Regulator would be beneficial
Experience in drafting policies, reports and governance documentation
Experience of managing confidential and sensitive information with discretion and professionalism
Experience supporting compliance with data protection requirements, including GDPR and the secure handling of confidential and sensitive information
Excellent document control, file and record management and archiving skills
Experience or familiarity with financial reporting and annual financial statements would be advantageous
Proficiency with a range of software tools relevant to the role including basic packages such a Microsoft Office (incl. Excel), GSuite, Adobe and with tools such as DocuSign
Personal Attributes
Be a self-starter with the capacity to prioritise and balance conflicting demands
Have excellent written and verbal communication skills capable of presenting information in a clear, concise, logical and persuasive manner
Possess excellent organisation and time management skills
Have a keen interest in, and understanding of youth health and social issues
Feel comfortable challenging how things are done by putting forward suggestions as to how they can be improved
Be able to work under pressure and unsupervised
Work collaboratively and effectively with a range of internal and external stakeholders
Encourage open and constructive discussion
Maintain poise and control when working to influence others
