Job Title: Board Secretary
Job Description:
The role of a Board Secretary is multifaceted and pivotal to the smooth operation of Board meetings. The Board Secretary will act as a support to the Board of Directors, providing administrative assistance.
Key Responsibilities:
* Agenda Preparation: The Board Secretary will prepare agendas in liaison with the Chairperson and Chief Executive/Registrar (CE/R).
* Paper Collation and Presentation: The Board Secretary will collate and present Board papers to the Chairperson in advance of Board meetings.
* Board Paper Sharing: The target for sharing Board papers with the Board is 7 days in advance.
* Attendance at Meetings: Attendance at Board and Committee meetings is required.
* Minute Taking and Action Recording: The Board Secretary will take minutes and record actions at Board and Committee meetings.
* Draft Action Log Sharing: The draft action log will be shared with the CE/R after meetings.
* Minute Circulation: Draft minutes will be circulated to the Chairperson.
* Board Paper Retention: The Board Secretary will ensure the retention and circulation of signed minutes and the post-Board Action log of all relevant meetings to all Members and the CE/R.
Required Skills and Qualifications:
* Educational Qualifications: Educational qualifications at Level 8 on the National Framework of Qualifications or equivalent in a relevant discipline(s) commensurate with this service are required.
* Corporate Governance Qualification: A qualification in corporate governance/company secretarial or legal is also essential.
* Professional Experience: Prior experience working in a Board Secretary post in the public or private sector is necessary.
* Knowledge of Governance Policies: An in-depth working knowledge of the Code of Practice for the Governance of State Bodies and demonstrable knowledge and understanding of the formal basis for the Board Secretary role in terms of board governance in the public sector are required.
* Excellent Communication Skills: Excellent communications, interpersonal and influencing skills at Executive/Board level are essential.
