Line of ServiceTaxIndustry/SectorNot ApplicableSpecialismGeneral Tax ConsultingManagement LevelSenior ManagerJob Description & SummaryThis is a company secretarial / corporate transaction role and an opportunity to join a dynamic team in a growing department in PwC involving the provision of corporate transaction, company secretarial and governance services to a broad client base across a range of industries. The Entity Governance and Compliance team sits within the tax services practice and have many common clients.We are looking for a candidate who is enthusiastic, versatile and is keen to enhance their corporate transaction, company secretarial and governance skills. The candidate will work with a number of bespoke PwC applications. It is expected that the candidate will build strong relationships with both clients, colleagues at local level and PwC's global network.The Team:The Entity Governance and Compliance team consists of ten professionals consisting of qualified and partqualified Chartered Governance Institute professionals who specialise in the provision of high qualitytransactional,outsourced company secretarial and governance services to clients.Responsibilities:Managing restructuring projects for clientsto includeshare for share exchanges,share buybacksand summary approval procedure transactionsLiaising with Corporate Solicitors across the PwC Network to collaborate on international restructuring projectsSupportingthe provision ofcorporate governance services.Arranging,attendingand minutingdirectors' and shareholders' meetings.Reviewingminutes,resolutionsandassociated documentation in relation to corporatetransactions.Exploring the use of AI in the delivery of company secretarial / governance services.Business development and building client relationships.Answering complex company law queries for clients.Maintaining client relationships and liaising with clients on company law issues.Regular liaison with tax and audit colleagues on various company law issues that may arise.Managinga portfolio of clients.Acting as main point of contact for more junior members of team.Overseeing team of associates.Providing team training.Managing the billing process.Experience Skills and Personal Qualities:8years' experienceChartered Governance Institute/ Solicitor fully qualifiedExcellent communication skills essentialStrong service delivery skillsGood interpersonal skills and a team playerOutgoing, ability to communicate well with colleagues and clientsExcellent organisational skillsStrong attention to detailDiligentTechnologically curiousUnlock your potential with PwC IrelandWe believe that challenges are better solved together We're inspiring and empowering our people to change the world.
