A leading distributions company is seeking to recruit a Company Secretarial Assistant to join their Group Company Secretarial team. This is an excellent opportunity for an ambitious and motivated individual to make an impression in a highly visible role with exposure to senior executive management and plc Board directors.This is a permanent full-time position. The role will report to the Deputy Company Secretary and will involve providing company secretarial support, including corporate governance and regulatory compliance.Key responsibilitiesProviding support and assistance to the Deputy Company Secretary on day-to-day company secretarial matters and specific ad hoc projects.Subsidiary board meeting administration: drafting subsidiary board minutes, shareholder resolutions, changes to constitutions.Maintaining statutory records and registers for Group subsidiaries on Diligent Entities.Assisting with the statutory accounts preparation, approval and filing process for the Group’s subsidiaries.Preparing and submitting CRO / Companies House filings for the Company and its subsidiaries.Arranging execution and sealing of legal documents.Drafting routine papers for plc Board/Committee meetings.Assisting with the organisation of the Company’s AGM.Maintenance and updating of bank mandate records for all Group subsidiaries.General administration duties as required (such as scanning, filing, binding etc.).The Company Secretarial Assistant will have one to two years’ company secretarial experience in a corporate environment. Strong social and communication skills with the ability to effectively interact with colleagues and management; An instinctive team player who is keen to engage, learn and develop and a pragmatic and flexible attitude and a willingness to assist with a broad range of duties.
