Role Description
Rutland Youth Service is seeking to appoint a voluntary Board Member with strong expertise in compliance, governance and legal affairs to join our Board and support the work of our Governance Subgroup.
This appointment has been identified as a priority to strengthen oversight of charity governance structures, ensure full compliance with the Charities Act 2009 and the Charities Regulator Governance Code, and support best practice in board effectiveness, policy development and regulatory compliance.
Specific Responsibilities of this Role
The successful candidate will work closely with the Chairperson, Company Secretary and Board members to:
Advise the Board on its legal and regulatory responsibilities
Ensure that all organisational policies and procedures align with best practice and statutory requirements
Maintain familiarity with the organisation’s governing document and the legal obligations of charities under the Charities Act 2009
Support the timely filing of statutory returns and required updates with the Charities Regulator, including annual reports and changes to trustee details
Work with the Manager to ensure full compliance with the Charities Governance Code and assist in the development of any additional governance policies required
Support board recruitment, trustee induction, training and periodic reviews of board effectiveness
Provide guidance where conflict resolution or mediation may be required at board level
Contribute to risk oversight from a governance perspective
Support oversight of fundraising practices to ensure transparency, compliance and alignment with regulatory and ethical standards
Essential Experience, Skills and Personal Qualities
A minimum of one year professional experience in a governance, compliance or legal advisory role within the private, public or non profit sector
Knowledge of charity law and regulatory compliance
Understanding of GDPR and data protection requirements
Knowledge of the non-profit or community sector would be advantageous
Strong communication, analytical and relationship-building skills
Ability to provide independent, objective and strategic input at board level
Rutland Youth Service is a youth led organisation committed to supporting young people in Cork City. Board members play a key role in ensuring strong oversight, sustainability and strategic direction while maintaining the highest standards of accountability and transparency.
Time Commitment
Approximately eight board meetings per year plus Governance Subgroup meetings. Preparation time is required in advance of meetings.
Remuneration
This is a voluntary unpaid role.
