Job Title: Senior Governance Professional
Description:
We are seeking an experienced and skilled governance professional to join our team as an Assistant Company Secretary. This role is a crucial part of ensuring that our organisation adheres to statutory and regulatory corporate governance requirements.
Key Responsibilities:
* Act as Company Secretary to regulated or significant legal entities, including liaison with the Chairman and senior executives.
* Provision of support, advice and guidance to the organisation on company law and appropriate regulations.
* Creation and review of corporate governance documents, including charters, terms of reference, matters reserved for the board, policies, and procedures in compliance with legal and regulatory requirements.
* Maintenance of compliance with corporate governance requirements, best practices and industry standards across our governance practices.
* Assistance on project work, such as corporate reorganisations, liquidations, mergers and formations and the signing of subsidiary financial accounts.
Requirements:
* A qualification as a Company Secretary from the Chartered Governance Institute, or a legal or accountancy qualification with a desire to qualify as a Company Secretary.
* Experience working in a regulated European bank, authorised Insurance undertaking or large Legal/Audit/Professional Services firm.
* PLC experience is advantageous but not essential.
* Versatile and adaptable, able to manage competing priorities and responsibilities.
* Senior stakeholder management skills, including dealing with ExCo or board members.
* Confident and influential communicator, able to engage with high-profile clients.
