LGT Fund Managers (Ireland) Limited is seeking an experienced Company Secretary Manager to lead our Company Secretarial team of five professionals based in Dublin and Luxembourg. This role encompasses the full suite of company secretarial services for 250+ fund-of-fund and SPV entities, including entity setup, day-to-day operations, and liquidation from a company secretarial, tax, and legal perspective. The successful candidate will ensure compliance with all relevant regulations and deliver exceptional service to our entities across Dublin and Luxembourg.
Reporting to Head of Finance, the successful person will be responsible for the following
Responsibilities:
* Entity Setup: Help coordinate the establishment of new entities, including drafting and filing necessary documentation, liaising with legal and tax advisors, and ensuring compliance with regulatory requirements.
* Day-to-Day Management: Maintaining statutory records, managing corporate governance, and ensuring timely filings and compliance with local laws.
* Board Meeting Process: Manage a team responsible for organizing and executing board meetings for 250+ entities, ensuring all documentation is prepared and managed efficiently.
* Entity KYC Requests: Supervise the handling of Know Your Customer (KYC) requests for entities, ensuring compliance with regulatory standards.
* Bank Account Opening: Oversee the process of opening and managing bank accounts for entities.
* Information Provision: Manage the provision of information to stakeholders, ensuring accuracy and timeliness.
* Student Oversight: Oversee the activities of student interns, providing guidance and support, and utilizing the internship program as a pipeline for future team members.
* Liquidation: Manage the orderly liquidation of entities, including preparing and filing necessary documentation, liaising with stakeholders, and ensuring compliance with all regulatory requirements.
* Section 110 SPV Entities: Oversee the setup and ongoing maintenance of Section 110 SPV entities, ensuring compliance with the specific requirements of the Irish Taxes Consolidation Act 1997. This includes ongoing management of profit participating notes, regulatory filings, and maintaining the necessary documentation.
* Stakeholder Management: Act as the primary point of contact for entity-related queries from internal and external stakeholders.
Requirements
Qualifications:
* Educational Background: A degree in Business Administration, Law, accounting, or a related field.
* Experience:Minimum of 5 years' experience in a related field with team management experienceStrong knowledge of Irish and Luxembourg corporate, tax, and regulatory requirements2Experience with Section 110 SPV entities, including their setup and ongoing maintenanceExperience leading, managing and developing a team.
* Certifications: Professional qualification in accounting, company secretarial practice, legal, tax (e.g., ICSA, ACCA, CTA) or equivalent.
* Skills: Strong analytical and investigative skills, excellent communication abilities, and proficiency in relevant software and tools.
