Company Secretarial Manager – SPV Governance

A leading provider of corporate and governance services is seeking an experienced Company Secretarial Manager – SPV Governance to manage a portfolio of structured finance special purpose vehicles (SPVs). This is a confidential opportunity within a well‑established, international organisation with a strong reputation in the capital markets space. The Role
This is a senior individual‑contributor role with significant client exposure. You will be responsible for the day‑to‑day governance, administration, and oversight of a diverse portfolio of structured finance SPVs across their full transaction lifecycle.
Key responsibilities include:
Acting as primary point of contact for securitisation, CLO, receivables financing, project finance, and other structured finance SPVs
Managing all company secretarial and governance matters, including board packs, board meetings, minutes, statutory filings, and maintenance of statutory records
Supporting transaction onboarding and ongoing administration (incorporations, bank accounts, KYC/AML, FATCA/CRS, beneficial ownership filings)
Reviewing transaction documentation and executing documents in line with internal controls and board instructions
Liaising with arrangers, legal counsel, auditors, trustees, agents, rating agencies, and other counterparties
Ensuring ongoing compliance with Irish company law, listing rules, transaction documents, and internal risk frameworks
Maintaining audit‑ready documentation and contributing to continuous process improvement
Building strong, trusted relationships with clients and market participants
Acting as a director of SPVs where required
You will be a confident and technically strong governance professional with experience in structured finance environments.
Key requirements:
ICSA / CGI qualified (or equivalent professional qualification supported by relevant experience)
4–6+ years’ experience in structured finance, corporate secretarial, trustee, agency, or capital markets administration
Strong experience with Irish SPVs, including Section 110 vehicles
Solid understanding of structured finance transactions and related governance obligations
Excellent drafting skills (minutes, resolutions, governance documentation)
Ability to manage multiple deadlines independently in a controlled, regulated environment
Strong client‑facing and stakeholder management skills
High attention to detail and sound judgement
