A senior governance and advisory role supporting the Chairperson, Board and senior leadership in delivering effective corporate governance, regulatory compliance and high-performing Board operations within a public sector regulatory environment.The role requires strong judgement, discretion and professionalism, with responsibility extending beyond traditional Board administration to include governance advice, policy coordination, regulatory oversight and continuous improvement of governance frameworks and processes.Key ResponsibilitiesAct as Secretary to the Board and Committees, ensuring their efficient and effective operationAdvise the Chairperson, Board, CEO and senior management on governance, statutory obligations and compliance with public sector governance requirementsPrepare and coordinate Board and Committee agendas, papers, minutes, briefing materials and action logsDraft high-quality minutes and governance documentation, maintaining accurate and authoritative records of decisions and discussionsLead the annual Board and Committee planning cycle, including workplans, evaluations and action trackingSupport the development and ongoing review of governance frameworks, policies, Committee structures and terms of referenceCoordinate governance reporting and ensure alignment with best practice and regulatory requirementsManage Board induction processes, governance training and ethics-related matters, including conflicts of interestMonitor changes in governance legislation, codes and regulatory obligations, advising on implementation where requiredManage governance records and oversee the online Board portal, including document control and user accessPromote continuous improvement across governance processes, reporting and organisational compliance arrangementsExperienceRelevant Level 8 qualification or equivalent professional experience in governance, law, business or a related fieldProfessional qualification in corporate governance, company secretarial practice and/or law desirableExperience in a Board Secretary, governance or company secretarial role within the public or private sectorStrong understanding of corporate governance frameworks, public sector codes and regulatory obligationsKnowledge of ethics, FOI and data protection requirementsExperience supporting Boards, Committees and senior leadership teamsExcellent drafting, report-writing and minute-taking skillsStrong organisational and coordination skills, with experience managing governance records and documentationExperience using Board management systems such as Decision Time desirable
