AIFM Compliance Responsibilities:
* Evaluate Pantheon Ireland's compliance with regulatory permissions and authorizations, including AIFMD, MiFID, Fitness & Probity, IAF, AML, KYC, and ongoing requirements.
* Serve as key relationship owner and point of contact with the Central Bank of Ireland (CBI) for Pantheon Ireland.
* Act as MLRO for Pantheon Ireland.
* Draft, maintain, and update policies and procedures.
* Ensure timely submission of all regulatory filings for Pantheon Ireland to relevant authorities.
* Develop, deliver, and maintain Compliance Monitoring Plan and Compliance Policies and Procedures for the business, in conjunction with Group compliance when necessary.
* Provide training of staff and Board of Directors on compliance issues.
* Report to the AIFM Board of Directors on a regular basis.
* Maintain compliance recordkeeping associated with adherence to the Global Code of Ethics.
* Assist in oversight and performance monitoring of outsourced service providers.
* Liaise with Group compliance for day-to-day and project work.
* Review Regulatory Developments/Notices relevant to the Pantheon group and write entries for internal Legal, Regulatory, and Tax updates.
* Coordinate with internal groups, including tax, finance, operations, human resources, marketing, investor relations, and investment teams.
* Maintain regular interface with internal and outside counsel/consultants/service providers regarding regulatory matters.
Fund Regulatory Compliance Responsibilities:
* Discharge Pantheon Ireland's regulatory compliance responsibilities under CP86 for funds under management.
* Act as MLRO for the Funds.
* Ensure timely submission of all regulatory filings for the Funds to relevant authorities, including the CBI, CSSF, and AED.
* Prepare and deliver Board reporting to the AIFM Board and the Funds Board for funds under management.
* Identify and report on legislative and industry developments impacting the funds and/or Pantheon Ireland.
* Act as key point of contact for the Boards of funds under management on compliance and regulatory issues.
Group Compliance Responsibilities:
* Assist the Global Compliance function with global compliance tasks, including assistance with Marketing Promotions approvals and associated marketing guidelines, AML, and Compliance Monitoring.
* Provide advice to the business on general compliance-related queries, including escalation of significant issues, interpretation of applicable rules and guidance, and reviewing content of the compliance program.
Required Knowledge and Experience:
* Experience in Compliance within asset management.
* Significant exposure and experience dealing with the CBI.
* Working knowledge of regulations, particularly AIFMD, MiFID, CP86, CBDR, IAF, EU AML requirements.
* Good understanding of Luxembourg and Irish regulations.
* Experience working with Part II UCI Luxembourg vehicle(s) an advantage.
* Experience working in private wealth channels an advantage.
* Attention to detail and methodical approach.
* Good organizational skills and ability to prioritize workflow.
* Strong time management skills and ability to work independently and on several projects simultaneously.
* Excellent communication skills and ability to build relationships within the business.
* Good report writing skills.
