Line of ServiceInternal Firm ServicesIndustry/SectorNot ApplicableSpecialismIFS - Office of General Counsel (OGC)Management LevelSenior ManagerJob Description & SummaryPwC Ireland is seeking an experienced Commercial lawyer to work in its Office of General Counsel ("OGC") team, to support the continued growth of our Irish business, primarily in the consulting, technology, and managed services space. Our technology practice has grown significantly over the past few years and we anticipate this continuing and increasing into the future.You will have at least 6 years' experience inprovidingcommercial legal advice,preferablywithin an in-house environment or within law firms, ideally working with clientssimilar toPwC or its competitors. You will also have excellent communication skills, the ability to build strong relationships and the capability todeterminestrategy and influence negotiations in an innovative business environment.The work is demandingand varied, and no day will be the same. You will be able to assimilate information quickly, get to the heart of a deal andadvisethe business not just on the legal and commercial aspects of any given deal, but on theproject as a whole. You will work closely with engagement delivery teams, you will have direct access to our clients and their legalteamsand you will act as the face of PwC innegotiations. The existingOGCteam is highly valued by thebusinessand are very much seen as business enablers,alwaysretaininga commercial focus.The Irish OGC team is led by the General Counsel, who is a member of the Firm Leadership Team,and alsoconsists of four other Legal Counsel who you will work alongside. The existing team isan experienced, wellestablishedand supportive group of professionals, who are highly regarded by and well networked to the business, and who have strong relationships with a wide range of senior professionals in the organisation.Whilst this role has a technology focus,OGC works as one team, with nodefinitiveclearcutdivision of specialities, which means that the successful candidate willalsobe exposed to a broad variety of in- house matters, giving them the opportunity to develop new areas of legalexpertise. The individual appointed to this role will report to theOGC Director.The successful candidate will have access to the broad range of training and developmental opportunities available to staff at PwC and will come into a defined career structure.Key responsibilities include:Independently negotiating,managingand running complex contract negotiations on behalf of OGC to includenon standard/client contracts, public body contracts, and global framework agreements, MSAs or other multi territory contracts;Negotiating commercial contracts with a specific focus on technology implementation contracts and/or managed services, outsourcing and other commercial and IT related contracts;Be the OGC point of contact and lead OGC contracts lawyer fortechnologycontracting for the Firm;Advise on data protection law and review and negotiate data protection terms in both client andsupplieragreements;Work in collaborationwith the wider PwC network asrequiredon cross border dealsincluding Global Framework Agreements and Master Services Agreements.Takeresponsibilityfor managing and creating new precedents and guidance notes for use throughout PwC's business.Keep abreast of changes in current law and regulationsin order tokeep the business up to date.Work closely with the other members of the OGC teambuthave the capacity andexpertisenecessary towork independently while managing a diverse and heavy workload.Key requirements for the role:Detailed knowledge of Irish Law, at least 6 years' PQE (or equivalent); top tier law firm experience or time spent working in-house an advantage;Proven experience in commercial contracts negotiationwith a specific focus ontechnology implementation contracts and/or managed service, outsourcing and other commercial and IT relatedcontractsa strong advantage;Experience in handling topics such as privacy and data protection law is an advantage but not a requirement;Strong drafting skills;Ability to handle complex negotiations using sound judgment to ensure that the firm's best interests are served;Ability to appreciate the wider reputational,commercialand business aspects of each deal;Ability to adapt and to be open minded and innovative;Sound judgment andwell developedinfluencing skills, together with the confidenceand experienceto work with senior management across the business; andAn ability to build strong relationships and become a trusted advisor to thebusinessUnlock your potential with PwC IrelandWe believe that challenges are better solved together We'reinspiring and empowering our people to change the world.
