Overview
Artex Risk Solutions are looking to hire an Assistant Company Secretary to join our team in Dublin.
This role will work directly with our Vice President of Corporate Services and would be ideal for a candidate who is looking for their next step in a Company Secretary position.
Our opportunity offers genuine career development and progression and will work closely with clients based in Bermuda, providing governance advice, managing corporate secretarial responsibilities, and ensuring compliance with statutory and regulatory requirements for these entities.
We offer flexible hybrid working on this opportunity and it will be based from our Dublin office.
How you'll make an impact
Managing portfolios of reinsurance and fund companies, including convening and attending board and member meetings, drafting minutes, and maintaining statutory records.
Offering proactive governance advice to Boards and management, ensuring compliance with governance models, bye-laws, and regulatory requirements.
Administering companies and entities, including transformer and segregated account entities, and supporting statutory and regulatory compliance.
Preparing and managing notices, agendas, minutes, resolutions, and reports for meetings.
Liaising with clients, regulators, and stakeholders, ensuring timely filings and notifications.
Conducting annual reviews, monitoring compliance with domicile legislation, and advising on corporate governance practices.
Supporting efficiency and system improvement projects within the corporate services team.
Collaborating with compliance teams to address non-compliance and ensure adherence to internal and external regulations.
About you
Previous experience gained working in a similar legal or company secretary role gained in (Re)Insurance, financial services or consultancy would be preferred.
A Corporate governance professional qualification (or part-qualification) from the Chartered Governance Institute UK & Ireland is highly preferable.
Some prior experience in corporate secretarial role is required and this would be perfect for someone looking for the next step in their career.
Previous experience of reinsurance and Fund industries' regulatory, compliance and governance frameworks would be preferred.
Appropriate knowledge of Anti Money Laundering/Anti Terrorist Financing legislation and requirements.
Fantastic working knowledge of corporate administration processes and associated best practices.
Highly conscientious with the ability to meet tight deadlines.
Proficiency in Microsoft Office and Viewpoint or other entity management systems.
