DescriptionAbout the RoleThe Funds Company Secretary will join our well-established Funds Department and will report directly to the Head of Funds CoSec team.Key ResponsibilitiesServe as the primary contact for company secretarial services for a regulated fund management company/AIFM, MiFID investment firms and portfolio of regulated investment funds.Carry out end-to-end company secretarial services including drafting board meeting agendas and collating board packs for circulation in accordance with an agreed timeline, facilitating and attending board and committee meetings and the preparation of minutes and action points arising from those meetings.Ensuring board compliance with applicable Corporate Governance Code requirements, Central Bank of Ireland ("Central Bank") Fitness and Probity Standards and Conduct Standards.Completion of statutory filings with the Irish Companies Registration Office and the Central Bank as they fall due.Arranging the collation of fitness and probity documents for the onboarding of pre-controlled function ("PCF") roles (such as directors, designated persons and heads of function) and controlled function "("CF") roles and assisting with the completion of Central Bank Individual Questionnaires.Acting as Central Bank Portal Administrator.
