We are recruiting a Trustee to join the Board (quarterly meetings) and Chair the HRR Committee (quarterly meetings) with experience in human resources and personnel management.Functions of the BoardThe CDI Board shall at a minimum carry out and be responsible for the following functions:-General responsibilitiesLegal obligationsStrategic directionFiduciary dutiesOversightEnsuring a quorum.The Board is responsible for providing leadership and oversight of the CDI entity. The primary responsibility is to ensure that CDI remains compliant with Irish Law and that annual returns are submitted to the Companies Registration Office and Charities Regulator. In addition Trustees ensure the organisation has a strategic direction in line with its charitable duties.Functions Of The HRR Committee AreTo ensure the implementation of good employment practices by regularly reviewing structures, procedures and practice with the CEOTo assist the CEO with decision making in relation to personnel issues as they arise and make recommendations to the BoardTo ensure that decisions in relation to staff employment issues will be made within the parameters of the financial constraints of CDITo report to the Board.FunctionsThe primary role of the HR and Renumeration Committee is to ensure the implementation of good employment practices and the provision of a mechanism to assist the CEO and Board in fulfilling their duties in relation to employment issues as they arise. This committee can also be delegated to assist in decision making between Board meetings where it is agreed and nominated by the Board to do so specific functions include:To ensure the implementation of good employment practices by regularly reviewing structures, procedures and practiceTo assist the CEO with decision making in relation to personnel issues as they arise and make recommendations to the BoardTo ensure that decisions in relation to staff employment issues are made within the parameters of the financial constraints of CDITo advise on and approve decisions regarding staff appointments, salary scales, remuneration, non-statutory leave; acting up arrangements and changes in terms and conditionsTo regularly report to the Board.
