Company Secretary | Hybrid | 45-55K
In this role you will be supporting the head of the company secretarial department. They are looking for an experienced company secretary with a demonstrated history of working in the legal services industry, representing a wide range of companies from start-ups to large scale global multi nationals. The Team also consists of a legal secretary and other interns for support.
This is a fixed term 12 -month contract with a high chance of extension as the team is growing
The Role:
1. The successful individual will be involved with:
2. Preparation and filing of statutory and company secretarial / corporate compliance related documents, including annual returns, resolutions, and minutes of meetings.
3. Managing and assisting with a large volume of client companies, ensuring that their annual compliance and statutory filing obligations are attended to.
4. Advising on, and dealing with, queries relating to all matters of company law
5. Keeping up to date on all company secretarial related legal developments and advising colleagues and clients on same in a timely manner.
6. Assisting the Head of Co Sec in growing and developing the company secretarial unit, demonstrating high levels of client service and specialised company secretarial knowledge.
7. Managing company incorporations, dissolutions, board changes, shareholder changes, share capital restructurings, and re-registrations.
8. Working with colleagues from all departments of the firm, assisting on a diverse range of transactions, utilising expertise in all aspects of company secretarial law and practice / corporate governance.
9. Register of Beneficial Ownership filing and upkeep.
10. Maintenance and upkeep of Statutory Registers and managing client files generally.
11. Assistance with certifying and arranging for documents to be notarised and apostilled.
12. Keeping clients updated on their upcoming annual return and RBO filing deadlines.
13. Drafting board minutes / general meeting minutes and related documentation.
14. Occasional attendance at board meetings.
15. Liaising with auditors, accountants and / or financial services providers in relation to the filing of the annual returns and financial statements; and/or with routine queries or requests for information and documentation as they arise.
The Ideal Candidate:
16. Experience in a company secretarial related role is preferred.
17. Very high level of attention to detail, analytical and organisation skills.
18. Experience and ability to deal with a large volume of clients and work, and the ability to
19. switch priorities depending on client needs / deadlines.
20. Ability to manage and prioritise workload to comply with filing deadlines.
21. Ambition and drive to work within and contribute to a growing unit.
22. Excellent interpersonal skills with the ability to build strong relationships across different departments / external stakeholders and communicate in a professional manner at all levels within the firm.
