Overview

European Corporate Secretariat ("ECS") provides support and company secretarial services to Barclays Bank Ireland PLC ("Barclays Europe") and its Board and Board Committees. The team sits within the wider Barclay Corporate Secretariat ("BCS") function in London which provides the same services to Barclays PLC and other Group subsidiary companies, with smaller regional teams also in America and Asia.

You will be an experienced Senior Assistant Company Secretarial professional with deep corporate governance knowledge, helping to ensure the effective operation of the Board and the Board Committees, in accordance with law, regulation and best practice. A high level of attention to detail is required and the ability to manage a number of key tasks is critical.


Responsibilities

* Act as Company Secretary to regulated or significant legal entities, including liaison with the Chairman and senior executives, assisting with board succession and board and committee evaluations, agenda preparation, board paper management, attending and minuting board meetings where required.
* Provision of support, advice and guidance to the Barclays Group on company law and appropriate regulations, its own policies and best practice in corporate governance and to the Directors on their fiduciary duties and other legal or regulatory obligations.
* Creation and review of corporate governance documents, including charters, terms of reference, matters reserved for the board, policies, and procedures in compliance with legal and regulatory requirements.
* Maintenance of compliance with corporate governance requirements, best practices and industry standards across the Barclays Group governance practices.
* Assistance on project work, for instance corporate reorganisations, liquidations, mergers and formations and the signing of subsidiary financial accounts.
* Maintenance of the company’s statutory registers, other registers such as conflict of interest registers, and data fields required for adherence to Barclays Group policies and standards.
* Stakeholders support with their ongoing compliance with the Group Policy on Legal Entities and Directors.


Qualifications

* Qualified Solicitor or Lawyer, or a qualified Company Secretary.
* Experience working in a regulated bank, with potential experience in insurance.
* PLC experience is advantageous but not essential.
* Proven ability to lead junior team members.
* Ability to deputise for senior management when required.
* Versatile and adaptable, able to handle various tasks and responsibilities.
* Senior stakeholder management skills, including dealing with ExCo or board members.
* Confident and influential communicator, able to engage with high-profile clients.


Location

Role will be located from our Dublin office.

* Create solutions based on analytical thought; perform in-depth analysis and interpretative thinking to define problems and develop innovative solutions.
* Seek out, build and maintain trusting relationships with internal and external stakeholders to accomplish key objectives, using influencing and negotiating skills.
