Purpose Of Role
To provide company secretarial support to the State Street legal entity Boards, Committees and Governance Forums under the State Street Ireland banner.
Key Committee / Working Group Memberships
Expected to include:
* Company Secretarial services to State Street Ireland Governance Forums and Committees
Major Responsibilities
* Work with the Company Secretariat team to complete daily workflows.
* Prepare and issue board agendas, papers, and minutes for meetings, ensuring compliance with procedures and laws. Convene and minuting general meetings, following up on decisions.
* Organise logistics such as room bookings, catering, and visitor logs.
* Upload documents to the Diligent portal.
* File statutory forms and maintain statutory books and the Blueprint database.
* Maintain legal entity minute books and update statutory registers.
* Review developments in Corporate Governance and Company Law.
* Ensure compliance with legal documents and regulations, including the use of the Company Seal.
* Update governance records and monitor compliance obligations.
* Assist with audits and compliance testing.
* Update procedures and templates as needed.
* Serve as a communication channel for INEDs and NEDs.
Skills And Experience
* Fully qualified Company Secretary (ACG) or equivalent beneficial.
* Proficiency in computer applications.
* Experience in minute drafting and meeting pack preparation.
* Strong time management and operational excellence.
* Interpersonal skills.
Required Competencies
* 3+ years company secretarial experience in a similar industry.
* BA/BSc and/or ICSA qualification required.
* Knowledge of financial services sector preferable.
* Attention to detail, excellent communication, prioritization skills, and problem-solving abilities.
