Hybrid – 3 days onsite, Monday to Friday 9:00am – 5:30pm.
Key responsibilities
Act as primary point of contact for company secretarial services for a portfolio of Central Bank regulated entities and Irish companies;
Agree board/committee meeting dates, send calendar invitations and diarise agreed dates with board of directors/committee members;
Formulate meeting agendas including all regulatory requirements;
Collate all board papers into a board pack in hard and soft copy for circulation according to an agreed timeline;
Arrange all board meeting logistics for both on‑site and off‑site meetings;
Attend board meetings (in person and virtually) to take detailed minutes;
Draft and circulate draft board minutes and action points within an agreed timeline;
Assist with general meetings (as required) including drafting notices, collating proxy forms, and ensuring sufficient votes to hold the meeting;
Prepare and submit annual returns and filings to the Companies Registration Office, RBO, and filings with Central Bank of Ireland where required;
Maintain statutory books and records;
Continuously assess and improve operational procedures and internal processes;
Effectively manage relationships with all stakeholders;
Act as a team lead and mentor to junior team members;
Get involved in internal projects and initiatives.
Skills & competencies
Minimum 7 years of experience as a company secretary in the regulated funds industry;
Proven experience in team and people management;
Strong knowledge of the Companies Act, ICAV Act, and corporate governance requirements for regulated entities;
Experience working in a fast‑paced professional environment with a focus on attention to detail and multitasking;
Experience managing and owning relationships with key stakeholders;
Proficiency in MS Office suite;
Desire to work in a fast‑paced, client‑facing environment where delivery of a high‑caliber professional service is key;
Organised, able to think on feet, with strong communication and organisational skills, and an enthusiastic attitude.
