Responsibilities
Your Role:
* review of fund documentation, including offering documents, subscription documents, constitutive documents and material agreements, to ensure that disclosures relating to Citco are true and accurate and in accordance with Citco’s legal, compliance and risk standards
* drafting of agreements in connection with the provision of administration services
* liaison with other service teams in connection with identifying client service requirements
* Assist senior lawyers to advise Citco, its affiliates and, where appropriate, its investment manager clients on cross‑border regulations affecting the provision of administration services to funds/SPVs
* Assist senior lawyers in reviewing and negotiating legal contracts and other agreements to be entered into between Citco or its affiliates with external counterparties in connection with its business
* Prepare reports on legal matters for internal senior management as appropriate
* As and when required, you will be providing the above services and support for affiliate offices of Citco and liaising with lawyers in other Citco offices.
Qualifications
* You have a minimum of two years’ post qualification experience with a leading Irish or international law firm or a combination of in‑house and law firm experience, ideally having specialised in investment fund formation (spanning all strategies including hedge, private equity and/or real estate), or with a strong general corporate / financial services background
* A general understanding of common investment fund structures including master/feeders, unit trusts, limited partnerships and segregated portfolio companies. Knowledge of common hedge, private equity and real estate jurisdictional structures, including Ireland, the Cayman Islands, Luxembourg and the Channel Islands is preferable
* A general understanding of extra territorial laws/regulations which are relevant to the administration of investment funds generally is preferable (e.g. anti‑money laundering rules, ERISA, AIFMD and GDPR)
* Project management skills with attention to detail and proven ability to multi‑task
* Excellent written and verbal communication skills
* Demonstrate business and commercial acumen
* Focus on quality and risk management
* Able to navigate complexity.
