We are excited to be partnering with a prestigious law firm client to find a
Company Secretary
to establish and lead a brand-new, dedicated company secretarial function.
This is a unique and high-impact role that involves centralising all existing company secretarial work, currently dispersed across various legal teams, while also driving and servicing new business opportunities.
The successful candidate will integrate closely with a highly-regarded specialist legal team, engaging with a diverse portfolio of clients across multiple sectors. This position offers a broad mix of work, including significant opportunities for involvement in both transactional advisory and compliance activities. Beyond external client support, the role carries internal responsibility for the oversight and ongoing development of the internal compliance function.
Key Responsibilities:
* Advising and assisting a varied client base on compliance requirements, specifically relating to the Companies Act 2014.
* Providing crucial transactional support to the specialist legal team on company law matters.
* Preparing Annual Returns and all associated Annual General Meeting documentation.
* Maintaining comprehensive and accurate statutory registers.
* Drafting Minutes, Resolutions, and other essential statutory forms.
* Taking responsibility for the oversight and continuous improvement of the organisation's internal compliance function.
Your Experience:
* You must be
ICSA qualified
with a minimum of
3 years' professional experience
managing complex company secretarial matters for multiple entities (gained either in private practice or an in-house environment).
* Demonstrable expertise and in-depth knowledge of the
Companies Act 2014
is essential.
* A strong academic record is required.
* You possess excellent organisational skills and meticulous attention to detail.
* You are a highly effective communicator and team player, with great interpersonal skills for collaborating with both internal stakeholders and external clients.
