Role Overview
We are seeking a senior lawyer to
design and operationalize
VendueTech's first global Employee Ownership Program. This role will shape cap-table evolution, governance maturity, and investor confidence as we progress toward Seed and Series A funding.
You will be the
architect and owner
of the ESOP strategy and implementation roadmap.
Key ResponsibilitiesESOP Architecture & Structuring
* Define a globally compliant ESOP for employees + independent contractors
* Establish ESOP Trust in Ireland
* Draft plan rules, vesting mechanics, grant docs, and board approvals
* Create tax-efficient structures across EU jurisdictions
Governance & Legal Compliance
* Ensure alignment with Irish Companies Act 2014 & Revenue Commissioner standards
* Maintain an audit-ready equity ledger and governance records
* Lead ESOP-related due diligence for upcoming funding rounds
Collaboration with Finance & Engineering
* Help design & validate legal logic inside
real-time ESOP modeling tools
* (including VendueTech's Looker Studio cap-table calculator)
* Ensure accurate vesting, valuation, and liquidity scenarios
Data Room Ownership
* Own all corporate governance and equity files for Seed/Series A audits
Education & Stakeholder Alignment
* Communicate ownership benefits clearly to contributors
* Support founder-investor communications on equity strategy

Qualifications
Must Have
* 5+ years in ESOP, corporate compensation, M&A, or governance
* Experience with VC-backed startups and scaling organizations
* Deep understanding of Irish equity law & EU cross-border tax implications
* Strong drafting experience and cap-table strategic planning
Bonus
* Qualified Solicitor/Barrister (Ireland/EU) or JD with corporate focus
* Familiarity with ESOP Trust establishment
* Understanding of IP rights in
