Role Overview
The Company Secretarial Manager will be responsible for the day-to-day management, governance, and operational oversight of a portfolio of structured finance special purpose vehicles (SPVs).
This role is a key client-facing position within Law Debenture's Corporate Services team in our Dublin office, ensuring high-quality delivery of corporate administration, transaction support, and regulatory compliance services.
The role also requires the completion of annual compliance matters and various ad-hoc changes (changes of directors, auditors, etc.).
Although an individual contributor role, the Manager will act as a subject-matter expert and will collaborate closely with colleagues across Ireland, the UK, and other Law Deb business units.
Job Role & Responsibilities
Be a responsive primary point of contact for a portfolio of structured finance SPVs, including securitisations, CLOs, receivables financings, project finance vehicles, and other capital markets structures.
Coordinate and manage all day-to-day administration of the SPVs in accordance with our corporate services agreement throughout the life of the transaction.
Prepare board packs, attend board meetings, draft minutes, and ensure all governance obligations are met including board support, statutory filings, company secretarial work, registered office duties, maintaining statutory records.
Support on-boarding and on-going day-to-day management of the transactions including incorporation, bank account opening, KYC/AML, FATCA/CRS classification to ensure they operate smoothly.
Review transaction documentation for client companies and gain a thorough understanding of the structures and the services we are required to provide.
Execute transaction documentation on behalf of SPVs in accordance with internal controls and director/board instructions.
Deal with all correspondence and day-to-day questions and issues that may arise over the life of the transactions in a timely manner.
Liaise with arrangers, agents, legal counsel, auditors, rating agencies, and counterparties as required.
Be willing and able to be appointed from time to time as a director of companies where we provide corporate services.
Regulatory & Operational Compliance
Ensure SPVs remain compliant with, amongst other things:
Irish company law
Listing requirements
The transaction documents
Beneficial ownership filings
Internal policies on risk, AML/KYC, and document retention
Maintain audit-ready documentation and high-quality internal file management.
Identify process improvements and contribute to best practice development.
Risk Management & Controls
Ensure all activities follow Law Debenture's risk, compliance, and governance frameworks.
Maintain accurate records and internal checklists, suggesting improvements as necessary.
Client Relationship Management
Help develop and grow Law Debenture's relationships with existing and potential clients as well as other market professionals.
Build and maintain strong client relationships based on reliability, responsiveness, and deep understanding of structured finance transactions.
Build strong, professional relationships with arrangers, law firms, trustees, administrators, directors, and external service providers.
Provide high-quality, timely responses to client queries and proactively anticipate client needs.
Actively participate in internal and external meetings and transaction updates.
Take responsibility for helping to deliver the annual budget for the business.
Essential Knowledge, Skills & Experience
ICSA fully qualified (or other professional qualification if relevant experience can be demonstrated).
A degree in Law/Business Studies preferable but not essential.
Minimum 4–6 years' experience in structured finance, corporate secretarial, trustee services, agency services, or capital markets administration.
Experience with Irish Section 110 vehicles.
Strong understanding of structured finance SPVs, securitisations, transaction documentation, and governance obligations.
Excellent drafting skills (minutes, resolutions, governance documents).
Ability to work independently, manage multiple deadlines, and handle complex workflows confidently.
Strong relationship-management skills and professional communication style.
High attention to detail, sound judgement, and familiarity with controlled signing processes.
Happy to work in a small office part of a large group.
Preferred Knowledge, Skills & Experience
ICSA/CGI qualification or progress toward qualification.
