The Governance team plays a pivotal role in ensuring the organisation operates to the highest standards of accountability, compliance and good practice, ultimately ensuring the delivery of quality, well‑governed services.Key Duties & ResponsibilitiesCEO & Board supportProvide proactive and confidential governance support and administration to the CEO and Board of DirectorsCoordinate and schedule meetings of the Board and its sub‑committees, drafting agendas, preparing and distributing board papers, and supporting the Company Secretary minutes, statutory filings and governance documentsSupport the CEO and the board in liaising with key external stakeholders, and in the preparation of documents, funder updates and regulatory filingsSupport Board recruitment, induction, annual performance review process and the coordination of external board training and continuous professional development opportunitiesMonitor developments in relevant legislation, regulation and governance requirements and support the implementation of internal controls and compliance processesAssist in maintaining the organisation risk register and support risk owners in reviewing and updating risk ratings and mitigation actionsPolicy Development, Reporting and Records managementDraft new, and amend existing, policies and procedures to ensure compliance with all relevant legislation, regulations and funder compliance and reporting requirementsResearch and prepare briefing papers, reports and governance documents as required, including the production of Board reports, annual service impact reports, and the preparation of the Directors' Report for the annual financial statementsMaintain effective document management, audit and version control systems across governance policies, reports and organisational records. Develop organised paper and electronic record systems, capable of speedy information retrieval, analysis and dissemination to relevant partiesSupport in the development and implementation of annual governance action plans and compliance calendarsMaintain statutory filings with the Company Registration Office and Charities RegulatorThe above job description is not intended to be a comprehensive list of all duties involved and consequently, the post holder may be required to perform other duties as appropriate to the post which may be assigned to them from time to timePerson specificationQualifications, Experience & SkillsA relevant qualification in law, policy, corporate governance or related field is desirableAt least two years of experience in a governance, compliance, administration or similar roleUnderstanding of charity sector governance, governance codes and regulatory bodies requirementsExperience supporting compliance obligations and statutory filings, including the Companies Registration Office and Charities Regulator would be beneficialExperience in drafting policies, reports and governance documentationExperience of managing confidential and sensitive information with discretion and professionalismExperience supporting compliance with data protection requirements, including GDPR and secure handling of confidential and sensitive informationExcellent document control, file and record management and archiving skillsExperience or familiarity with financial reporting and annual financial statements would be advantageousProficiency with a range of software tools relevant to the role including basic packages such as Microsoft Office (incl.
