We're looking for a talented and proactive Governance & Compliance Manager to join the HRI Group.Reporting to the Head of Governance, Risk & Compliance, this key role will support the delivery of high standards in governance across multiple entities, including those supported by shared services.
The successful candidate will also play a pivotal role in company secretarial duties and act as deputy to the Company Secretary when required.This is a fulltime permanent position based in Ballymany, Newbridge, Co.
Kildare, with the flexibility to work in a hybrid model.If you're ready to make a meaningful impact and grow your career in a collaborative and forwardthinking environment, we'd love to hear from you.Key Responsibilities:Deputy Company SecretaryDeliver efficient and effective company secretarial services for HRI subsidiaries including the maintenance of company records and filing of necessary returns with the CRO.Ensure timely and accurate minutetaking for HRI subsidiaries, coordination of board meetings and AGM, as required.Manage governance for HRI Committees and entities for whom a shared service is provided.Deputise as required for the HRI Company Secretary.Maintain absolute confidentiality.
Policy FrameworkIntroduce a policy management framework across the HRI group.Manage compliance with policy and ensure all policies are reviewed appropriately in a timely manner.
Freedom of Information & other stakeholder reportingFunction as Freedom of Information decision maker ensuring requests are responded to within legislative time limits.Complete FOI returns and ensures publication of disclosure logs.Coordinate responses to Parliamentary Questions.Assist in provision of reports to DAFM and other stakeholders.
Governance & ComplianceManage and report on compliance with the Code of Practice for the Governance of State Bodies for all HRI companies.Coordinate code updates and ensure awareness across HRI Group and the IHRB.Monitor and drive legislative compliance across the HRI Group.Ensure compliance with company policies and legislation.
Continuous ImprovementDrive continuous improvement in processes, leading process reviews and working in collaboration with wider organisational teams to identify opportunities to automate and streamline processes, reducing manual intervention, and improving data integrity.
Support the adoption and effective use of technology and BI tools (e.g., Power BI).
Team LeadershipProvide leadership and mentorship as required across wider governance, risk, and audit team.
QualificationsBachelor's degree in finance, business, governance, accounting, or a related field (required).
Skills and ExperienceEvidence of at least 10 years work experience, with at least 4 years in a governance function in either a commercial body or commercial semi state body.Excellent analytical, strategic thinking, and problemsolving abilities.Effective communication and stakeholder management skills with the capacity to influence, negotiate and drive performance.Results driven, with a record of delivering compliance while maintain excellent relationships.Excellent analytical and problemsolving abilities.Effective communication and stakeholder management skills with the capacity to influence, negotiate and drive compliance.Strong business acumen.Proven ability to manage multiple priorities in a demanding environment, with the adaptability and resilience required.Ability to maintain confidentiality.High proficiency in Excel, Word and PowerPoint.Strong team working and internal customer focus skills.Knowledge of company law is desirable.An interest in horse racing while an advantage, is not essential.
