Role Overview
Senior Lead Counsel (Proprietary M&A and Strategic Investments Legal) is a senior level position responsible for serving as subject matter expert and legal advisor to business stakeholders, functional partners, and the Legal Management Committee by providing counsel and thought leadership on all aspects of legal matters related to M&A and Strategic Investment transactions undertaken by the firm globally. The overall objective of this role is to provide legal support, advice, and guidance across M&A and Strategic Investments and Citi Businesses and Functions. This role requires a pragmatic, proactive attorney with thorough understanding and grounding in the laws and regulations for the geographies in which we operate as it relates to M&A and Strategic Investments, providing input into strategic decisions, exercising sound legal judgement to develop proactive, risk‑appropriate, and commercially business‑oriented solutions. This is not a manager.
What You’ll Do
Prepare, execute, and advise the business on mergers, acquisitions, divestitures, strategic joint ventures and investments that are or will be integrated into Citi’s management and financial reporting structure.
Address legal issues and disputes through preventative and proactive legal advice, identifying risk related to M&A and Strategic Investment transactions.
Serve as a recognized subject‑matter expert to senior management, key regional management and functional partners such as Risk, Compliance, Finance, CAO, CCO, the Legal Management Council, Practice Group Heads, and Regional/Country Leadership.
Substantially influence practices within Citi and the legal/financial services industry as they relate to M&A and Strategic Investments, taking primary accountability for outcomes.
Provide Citi businesses and functions with legal counsel, supporting strategic initiatives and product/service launches, interpreting relevant laws, rules, regulations, and industry practices.
Represent the firm both internally and externally with clients, government bodies, or other organizations, typically at the senior management level.
Anticipate, evaluate, and respond to developments in local and international laws and regulations that impact Citi activities related to M&A and Strategic Investments, aiding the firm in evolving to meet marketplace and client needs.
Proactively identify, evaluate, and contribute to the management of legal, regulatory, and reputational risk, collaborating with ICRM & Risk, following relevant legal developments, and participating in internal projects.
Contribute to planning and development initiatives, providing thought leadership based on industry, legal, and regulatory knowledge.
Monitor management of complex issues and transactions, escalating necessary matters.
Advise in complex negotiations with counterparties, vendors, customers, partners, and other parties, escalating when necessary.
Assess risk when business decisions are made, demonstrating consideration for Citi’s reputation and safeguarding its clients and assets, while driving compliance with applicable laws, rules, and policies and supervising the activity of others with accountability.
Qualifications
Relevant industry experience, preferably in financial services.
Banking or financial industry experience, including knowledge of banking regulations.
Comprehensive knowledge of laws, regulations and practices while staying abreast of the regulatory and legal environment, internal policies, and industry trends that impact the business.
Experience with complex deals, demonstrating the ability to analyze issues and develop legal solutions.
Effective communication and negotiation skills and ability to build and maintain trusted relationships.
Excellent leadership, interpersonal, organizational and relationship‑management skills.
Proven ability to apply sound judgement while managing assignments in a demanding, fast‑paced environment.
Bar license or legal qualification in good standing to practice law in the United Kingdom (England and Wales).
Education
Juris Doctorate or equivalent law degree.
