We're partnering with a
leading global investment management organisation
with a major presence in Ireland to hire a
Company Secretary & Fund Governance Associate
for a 12-month contract. This role sits within the governance function of its Irish
Super ManCo
, supporting board and committee structures across a large portfolio of UCITS and AIFM-regulated entities.
This is an excellent opportunity for someone with proven
ManCo governance experience
who wants to operate at the heart of a highly regulated funds environment.
The Role
You will play a key part in supporting the governance and oversight framework of the Irish management company, including:
* Supporting
Board and Committee meetings
(Risk, Audit, Management, Nomination, Investment), preparing agendas, papers, and high-quality minutes.
* Working closely with
Designated Persons (DPs)
and internal oversight teams to ensure accurate and timely governance reporting.
* Coordinating governance materials across multiple fund structures, including ICAVs, UCITS and QIAIF umbrellas.
* Managing actions, follow-ups and governance deliverables from committees and the ManCo Board.
* Maintaining governance records, statutory registers and corporate filings for Irish-domiciled funds.
* Liaising with directors, independent non-executive directors (INEDs), internal stakeholders, administrators, depositaries and other service providers.
* Ensuring compliance with
AIFMD, UCITS
and
Central Bank of Ireland
governance expectations.
About You
We're looking for someone who brings:
* Previous experience within an Irish AIFM/UCITS Management Company
(Super ManCo experience strongly preferred).
* Direct involvement in
committee governance
, ideally across Risk, Audit, Investment or Management Committees.
* Strong company secretarial skills including minute-taking, agenda management, board pack preparation and governance documentation.
* Understanding of
Designated Person (DP)
reporting lines and the broader Irish funds oversight model.
* Excellent stakeholder skills – able to work with DPs, directors, service providers and senior internal teams.
* Experience with governance systems such as
Diligent, Blueprint, BoardVantage
or similar.
* A relevant qualification or part-qualification (e.g. CGI/ICSA) is an advantage but not essential.
