We’re proud to foster an inclusive environment driving innovation and excellence, and we welcome you to join us on our mission to shape the future of clinical development.What you will be doing:Advising on mergers and acquisitions, investments and other strategic transactions at all stages, from performing due diligence, drafting and negotiating term sheets and transaction documentation, and supporting closing transactions and post‑closing integrationProviding legal support on debt financing transactions, e.g. term loans, revolving credit facilities, bond issuances and ongoing advice on debt documents following completionAdvising on and managing internal reorganisations in multiple jurisdictions, which remains ongoing in connection with ICON’s 2021 acquisition of PRA Health SciencesAssisting with and managing other special corporate projects to completion in an efficient manner andwith a team‑oriented approachDrafting and assisting with the preparation of related board and committee meeting materialsEngaging and liaising with external advisors across multiple jurisdictionsCollaborating with ICON’s corporate development, finance, treasury, HR and tax teams sometimes across multiple jurisdictionsManaging and prioritizing workload to comply with stakeholder deadlinesWhat you will need:Qualified lawyer (4-6 years PQE)M&A, corporate and banking transaction and reorganisation experience working in‑house or for a law firmSelf‑starter with the ability to work under their own initiative with a strong work ethicStrong organizational and time‑management abilityFirst‑rate attention to detailAbility to work to deadlines, manage multiple projects and deliver under pressure to a high standardExcellent interpersonal skills with the ability to build strong relationships across business functions and communicate in a professional manner at all levels within the organizationGood business, risk awareness and problem‑solving skills with the ability to act/think strategically, logically and commerciallyProven team player with demonstrated analytical and communication skillsTrustworthy, discreet and tactful while handling confidential and sensitive informationAbility to manage external counsel across multiple jurisdictions to ensure transactional deadlines are metAmbition to grow within legal team over timeWhat ICON can offer you:Our success depends on the quality of our people.
