The Team: The EMEA corporate secretary team provides world-class service to management, directors, and entities we support. The team operates across Paris, London and Dublin with ~19 members in EMEA, interacting with Legal colleagues in the U.S. and APAC and Bank leadership globally. There is currently a team of 4 corporate secretaries based in Dublin dedicated to the Irish entity.
Responsibilities:
* Assist the corporate secretary team for a regulated Irish bank (and other European entities) in publishing Board and Committee materials and communications on Diligent Boards.
* Support a fit-for-purpose meeting administration process for Board and Committee meetings.
* Attend Board and Committee meetings and draft minutes or specific sections.
* Create and prepare documents including agendas, resolutions, materials, minutes, attendance registers.
* Organize and maintain governance documentation databases in line with record retention requirements.
* Keep legal entity governance information up to date.
* Contribute to improving team processes, procedures, and controls.
* Oversee: maintenance of statutory registers and internal records; local and overseas filings; signing authorities and delegated authorities; execution of legal documents (POAs, Certificates of Incumbency, Deeds, etc.) including notarisation/apostille/legalisation; liaise with external company secretarial providers.
Experience and Skills:
* Degree or equivalent experience.
* Experience in a financial services environment in a company secretarial or administrative capacity is preferred.
* Experience with European and Irish corporate governance requirements for regulated financial services firms is preferred.
* Excellent written and verbal communication, with strong attention to detail.
* Systematic and organized, capable of multi-tasking and meeting deadlines.
* Ability to connect across the organization to achieve outcomes.
