Role description:

The successful candidate will join a small but extremely busy legal team to provide legal advice and support to sales and the wider team in the drafting, review and negotiation of a broad and diverse range of contracts with our customers and suppliers and with a main focus on timely progression and conclusion of customer contracts. You will work directly with Head of Legal and take ownership of commercial contracts and contract compliance. The role will also involve provision of support across all business functions of the AMCS group, where required, on a wide range of legal and business-related matters. The role is a commercially focused one, extremely varied and involving interaction with AMCS' internal departments and external parties.

Key responsibilities:

Commercial Contracts

* Drafting, reviewing, negotiating and finalising a broad range of commercial agreements with a particular focus on Software Licencing/SAAS contracts, Partnership Agreements, Data Protection agreements, NDA's and other IT and IP commercial contracts, with customers and vendors globally.

* Assist in developing, updating and maintaining contract templates, playbooks, training, legal policies and implementing internal legal processes.

* ensuring contracts comply with applicable laws and internal policies.

* Responsibility for adapting and updating AMCS standard contracts to integrate newly acquired businesses.

* Provide timely, practical legal advice to business units including sales, operations and HR.

* Work closely with the Contract Ops team to ensure contracts comply with internal policies and processes.

* Collaborate with the legal team and other departments across the AMCS group on acquisitions, such as assisting with due diligence and other aspects of the acquisition process, where required.

* Qualified solicitor in Ireland (or equivalent qualification within the EU) with at least 5+ years' post qualification experience working in a commercial environment – private practice or in-house or combination of both (with in-house preferable).

* Strong experience and diligence in drafting, reviewing and negotiating commercial contracts with a solid understanding of software agreements.

* Self-starter, who can work independently in a fast-paced environment with minimum supervision, handle multiple tasks, shift focus, adapt to changing priorities, and take initiative where appropriate.

* be also a team player with proven ability to work with a broad range of divisions within the company.

* Ability to work to very tight deadlines.

* Willingness to occasionally support sales teams across the globe outside of local business hours.

Litigation

Assist with managing litigation, arbitrations, and similar proceedings.

Employment

Provide legal support on employee relations and HR-related issues.

General

Provide legal support and working closely with the various teams across the AMCS global organisation on matters involving cross- border transactions including intellectual property, data protection/privacy compliance, employee relations, litigation across AMCS' global operations; Collaborate with external counsel as needed on specialised legal matters.

Requirements:

* Qualified solicitor in Ireland (or equivalent qualification within the EU) with at least 5+ years' post qualification experience working in a commercial environment – private practice or in-house or combination of both (with in-house preferable).

* Strong experience and diligence in drafting, reviewing and negotiating commercial contracts with a solid understanding of software agreements.
