Job Role:
Our organisation is seeking a Board Secretary to provide administrative support and ensure governance matters are reported to the Chairperson.
The successful candidate will have excellent communication and organisational skills, with the ability to work effectively at an executive level.
The Key Responsibilities:
* Support the Board of Directors in their duties and ensure all governance matters are reported to the Chairperson.
* Perform functions and duties as delegated by the Board of Directors.
* Assist the CEO in supporting the Board and its Committees.
* Attend Board and Committee meetings, taking accurate minutes and recording actions.
* Share draft action logs with the CEO after meetings.
* Circulate draft minutes to the Chairperson.
* Record and retain Board papers in line with our organisation's policy.
* Retain and circulate signed minutes and post-meeting action logs to all members and the CEO.
* Track close-out actions from Board meetings in collaboration with the CEO.
Qualifications and Experience:
The ideal candidate will possess:
* Relevant qualifications or significant professional experience in corporate governance/company secretarial or legal.
* Prior experience working in a Board Secretary role in the public or private sector.
* An in-depth knowledge of the Code of Practice for the Governance of State Bodies.
* Demonstrable knowledge and understanding of formal board governance procedures in the public sector.
* Excellent communication, interpersonal, and influencing skills at Executive/Board level.
* Able to maintain independence of thought and judgement while upholding best practice in corporate governance.
