Job Description
Support the Head of Corporate Governance, Ireland with corporate secretarial actions and governance administration of all relevant TD and TDS subsidiary boards/committees in Ireland to ensure that they are supported and administered in line with applicable regulatory and legal requirements, governance best practice expectations and with group policy.
Main Responsibilities
Acting as Company Secretary and Day‑to‑day support to unregulated Ireland TD subsidiaries, working with the Senior Corporate Governance Professional
Where required, organise subsidiary board/committee meetings, including working with the Corporate Governance Ireland team in drafting meeting agendas and liaising with management on meeting agendas and feedback on papers, collating, formatting and disseminating meeting papers, following up and updating actions
Drafting and circulating written resolutions for Board Committee and Board approvals and executing documents
Drafting relevant Board/Board Committee memos as required by the Head of Corporate Governance, Ireland and Head of Corporate Governance, TDS Europe & Asia Pacific
Maintain accurate and up to date legal entity registers and other information relating to relevant subsidiary boards/committees such as Board Training Plans and Board Policies Schedule, and ensure global entity management system (GEMS) is kept updated
Maintain legal documents including Authorised Signatories Lists and Powers of Attorney for all relevant legal entities in Ireland
Establish and, working with the Company Secretary, maintain team policies, procedures and controls for the function
Respond to ad‑hoc queries and requests for information from the business, board/board committee members, internal and external auditors etc., including assistance with daily monitoring of team mailbox, as required
Support Internal Audit and regulatory inspections by providing documentation as needed
Work closely with other Governance Assistants to provide support as required
Support any ad‑hoc requirements/projects and undertake such additional duties as requested by the Head of Corporate Governance, Ireland and Head of Corporate Governance, TDS Europe & Asia Pacific
Qualifications And Experience Required
Degree qualified with a strong academic background
A corporate governance secretarial qualification from the Chartered Governance Institute UK & Ireland
Minimum of 2‑3 years company secretarial experience and knowledge is preferable
Financial Services/regulated sector experience and knowledge is preferable
Strong interpersonal skills – ability to work effectively and build strong relationships with individuals at all levels of an organisation, including senior management and external directors
Knowledge of Diligent & GEMS is preferable
Ability to exercise discretion and maintain confidentiality
Ability to prioritise effectively and remain calm and tactful under pressure
Strong research/analytical skills
Excellent organisation skills and accuracy and attention to detail
Strong written communication skills
Reliable, self‑motivated and flexible
Proficient at Outlook, Excel, Word and PowerPoint
