Role Profile
An exciting, temporary opportunity has arisen to join our Legal team.
We are currently recruiting for the role of Legal Counsel which will have responsibility for the timely delivery of legal services and will work closely with the business to improve commercial terms and manage risk.
The role will report to the General Counsel and based in our Head Office at Abbey Quarter, Kilkenny.
Responsibilities
Review, draft and negotiate day-to-day commercial legal agreements (including for the manufacture, development, supply, and distribution of products, vendor contracts for procurement and outsourcing of services and IT solutions)
Advise on enforcement of contractual terms around termination, exclusivity, restrictive covenants and potential warranty/indemnity claims
Provide legal advice and commercial guidance on a broad range of legal and contractual issues in a dynamic international environment
Advise on establishment of joint ventures, collaborations and investments, draft principal transaction documents including subscription and shareholders agreements
Participate in corporate M&A work including legal due diligence, drafting and negotiating purchase contracts, advising on integration issues post completion
Engage directly with barristers to manage and progress District, Circuit & High Court commercial litigation in Ireland
Engage and manage external lawyers in relation to disputes and legal proceedings outside of Ireland, and for other needs of the business generally
Evaluate intellectual property activities including new developments and trade mark proposals, and advise on ownership, use and potential infringement activities
Advise on legal aspects of on-going Project Work relating to business integration, rationalization and optimisation
Assist with on-going updates to company policies and provide training to internal business units
Provide support to other members of team and training and assistance to junior members of team
Requirements
Third level Law or Business degree
Professional Legal Qualification (Solicitor or possibly Barrister or international equivalent)
Broad business knowledge and ability to understand complexities of Tirlán's operations and business relationships
Strategic thinker who is a capable problem solver
Solid experience in commercial law gained in a dynamic environment
Strong drafting, negotiating and communication skills
Ability to work on own initiative and be motivated to deliver the legal department's value-added agenda
Ability to multi-task and use a systematic and analytical approach to identifying issues and problem solving with the ability to prioritise tasks effectively.
Be able to define problems / issues at the outset in an objective manner.
Strong prioritizing skills with the ability to take on challenges as opportunities to find a better way.
Enjoys working in a fast-paced, innovative environment where the focus is on continuous improvement and the challenge to make it better.
Intellectual Property qualification, Commercial Contracts certificate/qualification and Commercial Litigation experience desirable
