A fast-growing, regulated insurance and technology business is seeking a Legal Counsel to join its Risk & Compliance function. Reporting to the Chief Risk Officer, this role will support a broad range of legal, commercial, corporate governance, and data protection matters within a regulated environment. Our client is based in Dublin City Centre but there is a significant opportunity to work wholly remotely in Ireland also.
The successful candidate will take ownership of commercial contracting, assist with corporate governance and company secretarial matters, and play an active role in regulatory and data protection compliance. This role suits a pragmatic, commercially minded legal professional who enjoys working across regulatory and commercial issues in a dynamic, technology-driven setting.
Key Responsibilities
Commercial Contracting
* Draft, review, and negotiate B2B and third-party commercial agreements.
* Support product and commercial teams in structuring legally compliant agreements with partners and vendors.
Insurer & Distribution Agreements
* Support the development and negotiation of Terms of Business Agreements, distribution agreements, and collaboration arrangements.
* Ensure agreements comply with applicable regulatory requirements relating to insurance distribution, outsourcing, and delegated authority.
* Assist with due diligence, onboarding, and negotiation processes involving regulated counterparties.
* Maintain oversight of legal documentation supporting product launches, partnerships, and market entry initiatives.
Corporate Governance
* Assist with board and committee governance, including preparation of agendas, minutes, resolutions, and maintenance of statutory records.
* Support corporate initiatives such as shareholder communications, subsidiary management, and corporate policy documentation.
* Assist with the establishment of new legal entities.
Data Protection & Privacy
* Support the Data Protection Officer and compliance function on data protection matters across the business.
* Draft and review data processing agreements, data sharing agreements, and cross-border transfer documentation.
* Provide practical guidance on GDPR compliance in relation to product development, vendor management, and customer engagements.
Regulatory & Compliance Support
* Support compliance with regulatory obligations, particularly in relation to insurance distribution, outsourcing, and conduct of business.
* Assist in aligning legal and compliance frameworks across insurance and technology operations.
* Support new licensing or regulatory application processes as required.
Cross-Functional Collaboration
* Work closely with sales, product, technology, and expansion teams to deliver legally robust and commercially viable solutions.
* Liaise with external legal advisors where necessary.
* Support internal training and awareness initiatives on contracts, governance, and data protection.
Qualifications
* Qualified lawyer in Ireland, the UK, or another common law jurisdiction, with 5+ years' PQE.
* Strong experience in commercial contracts and corporate governance.
* Solid understanding of GDPR and company law.
* Background supporting regulated businesses within financial services, insurance, fintech, or technology sectors.
* Excellent drafting, analytical, and communication skills.
* Ability to manage competing priorities and work effectively with cross-functional teams.
Experience
* Experience working within a regulated entity.
* Familiarity with regulatory outsourcing requirements and financial services regulation.
* Exposure to board governance and company secretarial responsibilities.
* Understanding of privacy-by-design and technology contracting principles.
