We are seeking a skilled Corporate Governance Specialist to join our team. This key role will be an integral part of our success, reporting directly to the Associate Director – Corporate Secretarial Services.
Key Responsibilities:
1. Build relationships with stakeholders of funds, ensuring effective communication and collaboration.
2. Organise Board, Board Committee and shareholder meetings, including the production/review of materials in advance of such meetings and minutes thereafter.
3. Manage changes to funds' Boards of directors, service providers etc., ensuring all necessary notifications and documents are completed.
4. Ensure that all actions taken, and agreements entered into by funds, are duly considered and authorised by the Board of directors.
5. Assist with the approval of financial statements and assist clients with conflicts of interest registers and Board assessments.
6. Provide regular reporting to management, ensuring timely and accurate updates.
7. Update client records, maintaining accuracy and compliance.
8. Support project work, as directed by management, ensuring successful outcomes.
9. Produce and/or review draft resolutions, as required.
10. Liaise with registered offices, ensuring all necessary filings and registrations are completed.
11. Establish relationships with service providers, on behalf of funds.
12. Assist with the liquidation process of funds which have ceased trading.
13. Support the training of other team members, ensuring knowledge sharing and growth.
Requirements:
14. A Bachelor's degree.
15. An excellent command of the English language.
16. At least four years of relevant work experience.
17. Self-motivated and able to work in a demanding environment, meeting deadlines as necessary.
18. Excellent interpersonal and communication skills.
