We are currently recruiting for the role of Commercial Legal Counsel, responsible for the timely delivery of legal services, working closely with the business to improve commercial terms and manage risk. The role reports to the General Counsel and is based at our Head Office in Abbey Quarter, Kilkenny, or our Dublin office in Citywest.ResponsibilitiesReview, draft, and negotiate day-to-day commercial legal agreements, including those related to manufacturing, development, supply, distribution, vendor contracts, procurement, outsourcing of services, and IT solutions.Advise on enforcement of contractual terms around termination, exclusivity, restrictive covenants, and potential warranty/indemnity claims.Provide legal advice and commercial guidance on a broad range of legal and contractual issues in a dynamic international environment.Advise on establishment of joint ventures, collaborations, investments, and draft principal transaction documents including subscription and shareholders agreements.Participate in corporate M&A work, including legal due diligence, drafting and negotiating purchase contracts, and advising on post-completion integration issues.Engage with barristers to manage and progress District, Circuit, & High Court commercial litigation in Ireland.Manage external lawyers regarding disputes, legal proceedings outside Ireland, and other legal needs of the business.Advise on legal aspects of ongoing projects related to business integration, rationalization, and optimization.Review commercial leases and collaborate with property managers and external advisors on legal matters related to Tirl??n's property portfolio.Coordinate and execute legal documents, prepare documents for meetings, and manage the legal team’s case management system.RequirementsThird-level Law or Business degree.Professional Legal Qualification (Solicitor or international equivalent).Minimum of 3+ years of experience as a qualified solicitor, either in-house or in a law firm.Solid experience in commercial contracts law in a dynamic environment.Strong drafting, negotiating, and communication skills.Broad business knowledge and understanding of Tirl??n's operations and relationships.Strategic thinker and capable problem solver.Ability to work independently and deliver value-added legal services.Excellent multi-tasking skills with a systematic, analytical approach to problem-solving and prioritization.Strong prioritization skills and a proactive attitude towards challenges.Enjoy working in a fast-paced, innovative environment focused on continuous improvement.Desirable: Intellectual Property qualification, Commercial Contracts certification, and Commercial Litigation experience.We offerHybrid working (flex Fridays).Free parking, including EV charging stations.On-site gym available for employees.Parenting room facilities.Work/life balance and collaborative culture.Opportunities for career progression.About usThrough expertise in research and development, customer insights, food safety, and state-of-the-art manufacturing, we bring innovative food and nutrition solutions to a global market.
