Position DescriptionWe are looking for a self-motivated Commercial & Corporate Solicitor or Barrister with proven, substantive expertise in commercial and corporate law to join ESB's dedicated in-house legal team. Our team of thirty lawyers and nineteen legal executives and legal secretaries provides legal advice and transactional support to all core areas of ESB's businesses and was recognised as Ireland's Public Sector In-house Legal Team of the Year at the 2019 Irish Law Awards.Applications are sought from lawyers admitted to practice in Ireland with substantive expertise in commercial and corporate law, either within an organisation as an in-house lawyer or as provider of legal advice and drafting from within a law firm or at the Bar. The successful candidate should be self-motivated, possess well developed interpersonal skills and have a solid background in commercial law.Key ResponsibilitiesAdvising, drafting and negotiating on all commercial legal aspects for multi-million Euro thermal, hydro, solar, offshore and onshore wind & other renewable generation construction projects, as well as waste to energy generation projects, carbon capture, large scale hydrogen production and battery storage projects; electrical and fibre optical telecoms infrastructure construction and trading projects and transactions in Ireland and in the UK.Advising, drafting and negotiating on all commercial legal aspects for advising ESB asset development and E&MP on all legal aspects of major international transactions and investments in power engineering, construction and consultancy projects throughout the world and advising on power purchase, operation, construction and maintenance contracts.Advising, drafting and negotiating on contractual issues arising in ESB's Customer Solutions business, including the rollout of charging infrastructure for electric vehicles and in ESB's retail supply business (Electric Ireland);Advising ESB's Company Secretariat and across the business on corporate governance/compliance and risk matters (including under the ESB Acts, company law, ethics' legislation, anti-money laundering legislation and other legislation and also the Code of Practice for the Governance of State Bodies) and interactions with ESB's ultimate shareholder.Advising ESB Group treasury and finance divisions on project finance, derivatives and credit risk management transactions as well as drafting and negotiating short- and long-term loan facility documentation, bond issues, financial and security instruments.Advising, drafting and negotiating on commercial legal aspects of ESB's procurement operations, including for IT infrastructure projects as well as advising on IPR matters, data protection, and software licensing etc.Advising, drafting and negotiating on commercial legal aspects of share and asset purchase and related investment transactions (including shareholder agreements), including the establishment of strategic joint ventures with other energy and engineering businesses.EssentialExperience and QualificationsA qualified Solicitor or Barrister with demonstrable experience in commercial and corporate lawSound commercial judgementWell-developed interpersonal, presentation and communication skillsAbility to influence and engage with clients and colleaguesExperience in advising on contract, commercial and corporate lawStrong analytical skills and a proven ability to provide practical advice in a commercial contextSelf-motivated - working on own initiative and as part of the wider in-house client/legal teamDesirablePreferably experience in commercial or corporate law practice within energy, construction or M&ALocationThis position will be based in ESB Head Office, 27 Fitzwilliam, Dublin 2.ESB is committed to smart working – combining digital tools with a culture of trust and empowerment to enable flexible ways of working.
