The Organisation
IPPOSI is a patient-led organisation that works with patients, government, industry, science and academia to put patients at the heart of health policy and innovation.
Today IPPOSI represents the largest membership-based network of patient organisations in the country. The early focus of IPPOSI members was on rare diseases, but as time grew, this focus has evolved to incorporate areas of shared interest to IPPOSI’s diverse membership – including access to innovation, digital health, health information, and public and patient involvement.
The IPPOSI story is still unfolding. We are a diverse community – but there is more that unites us than divides us – not least, the recognition that we are all likely to be patients at some point in our lives and we must work together to protect dignity, to ensure access to quality and innovative care, and to facilitate the involvement of patients in the design of their own health future.

Board: Who we are | IPPOSI
The Role
IPPOSI is currently seeking a Company Secretary to join its board, who will play a key governance role in ensuring the charity complies with relevant legal, regulatory, and constitutional requirements.
Responsibilities will include the following:
Inputting to the strategic direction, contributing with insight, oversight and experience of strategy formulation in other sectors.
Responsibility to ensure that the charity complies with all relevant statutory and regulatory requirementsand its Constitution.
Working closely with the IPPOSI Executive and board chairperson to prepare and circulate the board agenda and supporting documents.
Take minutes at board meetings and ensure minutes are kept in a minutes book and circulated to other members of the Board as soon as possible after the meeting.
Follow up on decisions taken at meetings in consultation with the chairperson
Filing with the Companies Registration Office (CRO): Annual returns, director changes, and other statutory filings
Filing with the Central Register of Beneficial Ownership of Companies
Charities Regulator compliance: Ensuring registration is up to date, filing annual reports and financial accounts.
Maintaining statutory registers: e.g. conflicts of interest
Working closely with the IPPOSI Executive to organise the AGM: Sending notices, ensuring quorum, preparing resolutions, and documenting decisions. (AGM usually takes place online)
Maintain up-to-date knowledge of applicable governance, legal, and regulatory requirements.
Occasional online bank payment approvals.
Skills And Experience Required
Communication Skills: be required to engage effectively with a range of stakeholders, including the CEO, Chairperson, and fellow board members.
Experience with Boards: Previous experience as a Company Secretary, preferably with a charity.
Availability: The candidate must be able to dedicate sufficient time to the role.
Compliance: A strong understanding of, and commitment to, ensuring the charity’s operations adhere to governance standards, such as the Charities Regulator's Governance Code, CRO, and internal controls, is essential.
Charities Regulator’s General Duties of a Charity Trustee
Comply with the charity’s governing document.
Ensure the charity is complying with its charitable purpose for the public benefit.
Act in the best interest of the charity.
Act with reasonable care and skill.
Manage the assets of your charity.
Board Meetings
The board meets five times a year online, typically on Tuesdays at 1pm, with one in person meeting per year. Meetings typically last two hours. The board meetings are in addition to an AGM which is held online.
The board secretary is a member of the IPPOSI Governance Committee, which also meets 5 times a year
