The Role
Cafico International is seeking an accomplished Company Secretary to join our distinguished independent trust and corporate services team at our Dublin City Headquarters. The selected applicant will oversee all company secretarial duties for a diverse portfolio of clients, across industries such as aircraft leasing, capital markets and funds, software and technology and pharmaceutical and life-sciences. The successful candidate will play a key role in shaping the performance and delivery of a core business function, offering a unique opportunity to make a meaningful impact within a dynamic and growing organisation.

Responsibilities
Key tasks include—but are not limited to—the following:
* Manage company secretarial function for a diverse client portfolio across multiple industries.
* Ensure compliance with the Companies Act 2014 and other relevant legislation.
* Maintain statutory registers including directors, secretaries, shareholders, and beneficial owners.
* Manage filings with the Register of Beneficial Owners (RBO).
* Manage filings with the Companies Registration Office (CRO)
* Organise board meetings, prepare agendas, coordinate with stakeholders and service providers to collate information for board packs, circulate materials, attend meetings, provide guidance on procedural matters, and accurately record minutes.
* Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
* Maintain minute books and ensure proper documentation of board and shareholder decisions.
* Drafting of resolutions as necessary to record board and shareholder decisions.
* Foster strong relationships with Chairpersons and Directors of assigned entities.
* Advise directors on corporate governance and statutory obligations.
* Manage the execution of secretarial documentation and ensure timely completion.
* Liaise with auditors, legal advisors, regulators, and other external stakeholders.
* Monitor compliance calendars and key filing deadlines.
* Support company incorporations, dissolutions, and restructuring processes.
Requirements
* ICSA qualification is an advantage.
* Minimum of five years' experience in Financial Services or Corporate Administration Services, preferably with capital markets exposure.
* Ability to interpret and keep abreast of evolving regulatory and legislative developments.
* Strong organisational and time management capabilities.
* Demonstrated flexibility and initiative.
* Proven record of success in a client-focused team environment.
* Capable of engaging confidently with senior stakeholders both locally and remotely.
* Proficiency in Microsoft Word and Excel.
* Exceptional written and verbal communication skills.
* Commercial acumen and motivation to achieve targets.
