Purpose Of The Role
The Board is responsible for providing strategic oversight and governance to ensure the organization operates effectively, ethically, and sustainably. A Board Member with risk experience will play a critical role in guiding the organization's approach to risk management, compliance, and resilience, ensuring that risks are identified, assessed, and managed appropriately.
Key Responsibilities
Strategic Oversight:
Contribute to the development and monitoring of the organization's risk management framework.
Provide independent judgment on risk-related matters affecting strategy and operations.
Risk Governance
Review and challenge risk assessments, mitigation plans, and internal controls.
Ensure compliance with legal, regulatory, and governance requirements.
Committee Participation
Serve on Finance, Audit & Risk Committee, which meets monthly
Support the Board in embedding a strong risk culture across the organization.
Advisory Role
Advise on emerging risks, including financial, operational, reputational, and cyber risks.
Monitor risk reporting and ensure transparency to stakeholders.
Skills & Experience
Proven experience in risk management, compliance, audit, or governance roles.
Strong understanding of risk frameworks and regulatory requirements.
Ability to analyze complex information and provide strategic insights.
Commitment to ethical standards and confidentiality.
Time Commitment
Approx 4-5 hours per month to attend scheduled Board and Finance Audit & Risk Committee meetings (each typically monthly and held online).
Prepare for meetings by reviewing papers and reports.
Participate in ad-hoc discussions as required.
Term
Voluntary appointment for a fixed term (3 years), renewable by mutual agreement.
Reporting
Reports to the Chair of the Board and relevant committee chair.
