Job Description:We are working on an excellent opportunity for an experienced Company Secretary to join the team at a global asset manager based in Dublin. The successful candidate will work closely with the internal asset management teams and business partners to ensure communications between the Boards, Board Committees, and the business operate effectively and to the highest standards.The role holder will need to have funds experience, Irish regulatory knowledge, strong minute-taking skills, and senior stakeholder engagement abilities.Skills/Experience:Ideally qualified Company Secretary.Qualified or near-qualified Corporate Governance professional.Banking experience is preferred but not mandatory.Knowledge of the Irish regulatory environment.Experience with Irish Fund Management Companies, supervisory framework CP86, and high PRISM rating firms.Understanding of the role of the Designated Persons.Excellent minute-taking skills.Ability to draft clear and concise reports for Boards and Committees.Strong communication skills for relationship-building across all levels, including Board of Directors.Confident presentation skills, both in person and via conference calls.Familiarity with Blueprint Software and Diligent.Ability to work independently and within a team.Adaptability to shifting priorities and work under pressure.Strong organizational and time management skills.Attention to detail and proofing skills.Core Responsibilities:Ensure high standards of corporate governance within all entities and Committees.Maintain discretion and professionalism.Manage corporate entities and committees, including setting agendas, reviewing and distributing Board packs, and minutes.Build and maintain relationships with Chairpersons, Directors, and senior management.Collaborate with Compliance to handle regulatory submissions.Manage secretarial matters, shareholder meetings, and record updates.Prepare and review documents, procedures, and minutes.Review and update Board and Committee terms of reference regularly.Advise on corporate governance risks and ensure regulatory compliance.Develop and improve governance processes in response to industry changes.Provide governance advice to the business and Board members.Report on delegated authorities, policies, and governance issues.Benefits:Highly competitive salaryWider benefits packageCore-Asset Consulting is an equal opportunities recruiter, welcoming applications from all backgrounds.Job reference: 16044Applicants must be eligible to work in the UK.We are committed to privacy and data protection.
