COMPANY OVERVIEW

Role Purpose

The Senior Professional will be responsible for assisting with the corporate governance and secretarial needs of certain KKR & Co. Inc. ("KKR") subsidiary and affiliate legal entities (the "KKR Group") located primarily in EMEA, including KKR's private wealth vehicles in private equity and infrastructure asset classes ("K-Series").

To ensure that applicable legal, regulatory, contractual, and reputational requirements are met with respect to internal corporate governance frameworks, corporate organizational documents, and fund constitutional documents. This role is important in upholding fiduciary standards, supporting group KKR subsidiary and affiliate board of directors and their committees, and enhancing transparency, accountability, and operational integrity across the KKR Group with a focus on the K-Series.

Key Responsibilities

General

* Coordinate the scheduling and convening of board and committee meetings including draft agendas, organizing the collation of board packs/management presentations, notifying presenters of agenda items and due dates for materials, including by coordinating with internal teams, executive assistants, independent directors and other external participants, as appropriate.
* Oversight of the set-up of meeting cards in Nasdaq Board Vantage ("NBV") and attach materials to collate and distribute board packs, in a timely manner.
* To assist with the drafting and review of quarterly (including ad-hoc meetings) minutes and other matters arising from board and committee meetings.
* To manage, maintain and supervise the current relationships with third-party service providers and the legal entity management support team based in Gurugram, India, including with respect to oversight of such third-party providers' roles and responsibilities in supporting board and committees, attendance, meeting preparation, and, in certain cases, first drafts of minutes and meeting materials.
* Oversight and review of the NBV portal and managing access permissions, distribution lists and new licence requests.
* To manage the forward meeting calendars and agendas for boards and committees.
* Maintain the K-Series board and corporate action calendar to ensure timely approval and execution of requisite action items and regulatory filings in multiple jurisdictions.
* Serve as the main point of contact for Independent Directors of the Boards and Committees along with other senior Executives and service providers.
* Maintain local Governance Frameworks and closely coordinate with colleagues globally on Global Governance best practices and standards (annual reviews and ad hoc, as deemed appropriate).
* Maintain the appropriate Governance Manuals (or related documents) alongside the Compliance teams (annual review and ad hoc, as deemed appropriate).
* Manage K-Series corporate governance document repository by maintaining board materials, minutes and resolutions, governing documents, policies, offering memorandums, SEC filings, organizational charts and other corporate documents.
* Draft corporate resolutions (including dividend payments, capital injections, external auditor appointment / re-appointment) and other corporate formalities (e.g., signing authorities, powers of attorney and director appointments/resignations) for all entities with third party service providers.
* Work closely with Gurugram legal entity management team with respect to their management of legal entities through our legal entity management system, Computershare Global Entity Management software ("GEMs"), to the extent there is overlap with this role's support for governance related matters.
* Coordinated external audit document requests and confirmations, as it relates to legal or corporate documentation.
* Work closely with legal colleagues primarily in EMEA for the drafting and review of incorporation documents and bylaws with local third-party providers and keep such documents up to date.
* Coordinate closely with EMEA and Gurugram colleagues to coordinate with third party service providers to identify and make any local statutory filing requirements, as appropriate, for example formation document filings and statutory officer filing updates.
* Stay in close coordination with separate KKR & Co. Inc. (NYSE-listed ultimate parent company) public company legal team regarding developments in the U.S. which may impact local subsidiary corporate governance activities.
* Provide support from time to time for ad hoc global and regional corporate governance projects.

Key Skills and Qualifications

* Qualified Company Secretary/Chartered Secretary (or part qualified) with a minimum of 4+ years of work experience having an in-depth knowledge and experience of Corporate Secretary / Corporate Governance as a function.

* Experience in a multinational finance shared services organization, globally recognized firm and/or private equity firm/alternative asset manager preferred.

* Experience with legal entity management globally helpful but not required

* Excellent proficiency in Microsoft Office suite of products, including SharePoint, PowerPoint, Excel and Word.

* Proficiency in Governance / Corporate Secretary tools and software, including GEMs and NBV.

* Ability to understand and manage legal documents, upload and store them in compliance with statutory and company requirements.
