About The Role
Amarenco is seeking a senior legal counsel to join its legal team and support the company’s activities mainly in Ireland but also in Iberia, Austria and France. You will play a key role in supporting the company’s in their contracts related in particular to Development, Construction, Operation and Corporate including due diligence process, negotiation of term sheets and definitive agreements and related support projects in all jurisdictions.
Your Main Responsibilities
* Write and negotiate with the project team a wide range of contracts mainly confidentiality agreements, letters of intent; “MOU”, partnership agreements, EPC contracts, O&M agreements, procurement contracts, PPA contract (Purchase power agreements), binding and non binding offer and less frequently land agreements, shareholders agreements acquisition, financing contract and share purchase agreements;
* Evaluate regulatory and contractual risks, propose innovative solutions to reduce such risks;
* Creates tools and templates for Contracts;
* Under the supervision of the Deputy Chief Legal Officer, participate to the implementation and evolution of the contractual policies and the standardization of contractual documents;
* Work closely with colleagues from the legal department and other functional areas and executive management from the different regions in the execution of the activities;
* Coordinate and supervise the work of the external law firms with applying the legal group policies related to the choice of law firms;
* Follow the litigation files (if any) associated with the portfolio of projects;
* Assist in the preparation of the legal documentation for the response to calls for tenders for renewable projects and follow the legal aspects of such projects once awarded (creation or participation in joint ventures, implementation of agreements).
Occasional Tasks
* Participate to due diligence process;
* Contribute with the tax specialists as well as financial and operational managers to the choice of contractual and financial schemes for the above-mentioned activities;
* Analyze and interpret new regulations applicable to the Amarenco business;
* Support in the incorporation and establishments of project companies and affiliates.
Profil sought
You hold a postgraduate degree in Business Law, ideally with a dual qualification in both Civil and Common Law, and you have at least five years of experience in legal practice, gained both in private practice and in-house roles. Your background includes solid exposure to energy projects, and ideally experience within international infrastructure or energy companies, where you have developed strong expertise in contract management. Previous involvement in cross-border project management would be considered a valuable asset. Fluent in English, both spoken and written, you are able to work effectively in an international environment. Knowledge of French would be an advantage, and proficiency in other European languages would be a plus. Recognised for your excellent organisational and time management skills, you know how to prioritise your workload and handle several matters simultaneously with rigour and efficiency.
